Flat-footed is a term used to describe your character when he is either caught off guard by his foes or when he is flanked by them. When your PC is "flat-footed", you lose your DEX and Dodge bonus to your Armor Class.
Healing would be fine to add to your character, though I will need to take away some other skill(s). Healing is a "cross-class skill" which means you need to spend 2 skill points for every 1 rank you want in the skill (as opposed to a 1:1 ratio with class skills). Suggestions on what skills you would like to cut? Also, please note that healing is keyed off of WIS, so at most you can get Healing +3.
Touch AC is when the enemies' attack somehow by-passes your armor, so you only get to apply your Dodge/DEX bonuses to your AC.
Certain spells (both touch and ranged) required an attack roll against your "Touch AC"... i.e. Shocking Grasp - because the spell causes your hand to become electrically charged, it doesn't matter where you touch your enemy... his armor is useless in protecting him from the electricity.

For his past, he was born into a minor noble family. Most of his young life he trained to use the longsword; however, he never was really intrested in it. One night ,when he was 17, he went out to the forest to practice some night drills. When he returned home, he was shocked and angered to find that his families rivals decided to set fire to his families house, trapping some inside. Despite all of Tranic's efforts, he failed to rescue any of his family. Even though all he had were what he could carry, Tranic swore revenge. Though his ultimate goal is to extract his revenge, he still will try and find other work.
His armour is covered in a white tabard. On it, there is a picture of a white dragon getting stabbed by a lance(his families code of armd). Tranic always wears a great helm.

I even went so far as to review the stats and description of my Khord Cleric character, but in both those games we had 86 points to work with (not 74 as in this one) so I did not see where I would trim points for a different Khord Cleric character!
